14. General
Entire agreement
These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and CV95 regarding your use of the Website and supersede all prior communications on this subject. They do not affect any separate agreement (including the Platform Terms of Service, Master Services Agreement, or Data Sharing Agreement) that may govern your use of the Platform.
Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions continue in full force and effect.
No waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to do so on any future occasion.
Assignment
You may not assign or transfer your rights or obligations under these Terms. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of substantially all of our assets, on notice through the Website.
No partnership
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and CV95.
Governing law
These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict-of-laws rules.
Jurisdiction
The courts of the Republic of Lithuania, with venue in the courts having jurisdiction over CV95’s registered office in Klaipėda, have exclusive jurisdiction over any dispute arising out of or in connection with these Terms. This is without prejudice to any mandatory rights you may have as a consumer (if applicable) to bring a claim in the courts of your country of residence.
Language
These Terms are concluded in English. If translated into Lithuanian or any other language for convenience, the English version prevails in case of conflict.
